TERMS AND CONDITIONS OF USE

Effective as of 2023-01-20.

These Terms replace and supersede all prior versions.

  1. GENERAL TERMS

    1. These Terms and Conditions of Use (the “Terms”), along with any applicable Call terms (see section 5.1. below) govern your use of and access to online educational creative collaboration platform WeCreators (https://wecreators.com/) (the “Platform”), customer support, search engine and repository of creative works, marketplace and ideation space or other interactive areas or services, features, content, or applications that may be offered through the Platform from time to time for paying and non-paying customers (collectively, the “Services”). Some Terms may be specified or explained in Platform (for example in “Frequently Asked Questions” or other sections of the Platform).

    2. Platform is created and operated for co-creation purposes by an organization PI SMK University of Applied Sciences, company code: 291823650, address: Nemuno str. 2. 91199, Klaipėda (Lithuania) (“SMK”).

    3. BY REGISTERING AND ENTERING THE PLATFORM YOU AGREE THAT YOUR USE OF SERVICES WILL BE GOVERNED AND YOU SHALL ABIDE BY THE TERMS OUTLINED HEREIN. IF YOU DO NOT AGREE TO THE TERMS, YOU MUST STOP USING SERVICES AND PLATFORM. IF YOU ARE UNSURE ABOUT YOUR RIGHTS AND OBLIGATIONS IN CONNECTION WITH THE USE OF SERVICES OR PLATFORM, PLEASE STOP USING IT AND SEEK PROFESSIONAL ADVICE.

    4. SMK reserves the right to update Platform versions (including mobile versions), change, modify, suspend, or discontinue the whole or any portion of the Services or Platform at any time in its sole and absolute discretion. SMK may also impose limits on certain features or restrict your access to any of the Services or access to the Platform without providing any prior notice or incurring any liability.

    5. SMK does not warrant or guarantee that the Platform will always be available or be uninterrupted. SMK shall not be liable to you for any reason in the event the Platform is unavailable at any time or for any period. You must regularly test your systems with a current version of a leading anti-malware application in efforts to detect, and if so detected, to eliminate, any computer code, viruses or worms designed to damage, disrupt, disable, harm or otherwise impede in any manner, the orderly operation of this Platform.

    6. SMK may make changes to the Terms from time to time, and if it does, it will notify you by revising the date at the top of the Terms. You should look at the Terms regularly. Unless otherwise noted, the amended Terms will be effective immediately, and your continued use of our Services and Platform will confirm your acceptance of the changes. If you do not agree to the amended Terms, you must stop using our Services and Platform.

  2. ACCOUNT REGISTRATION

    1. To use certain features of the Services, you may be required to register in the Platform for an account as a Creator, Master Creator and/or Business, or any appropriate user roles, as SMK may introduce from time to time. The ability to register and use the Master Creator account is limited and only available to SMK approved mentors.

    2. You warrant that any registration information (such as name, contact information, or other information) you submit is accurate, complete, and not misleading, and you agree to keep such information up to date. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.

    3. You must be 18 or older to register and use Services. You represent and warrant that you are at least 18 years old and take full responsibility for the selection and use of the services. If you will be using the services on behalf of a company or any other entity, you agree to these terms on behalf of that entity and you represent that you have the authority to do so.

    4. To the extent you are able to select a registration information, you MAY NOT:

      1. select or use a name or identifier that is a name of another person or entity with the intent to impersonate that person or entity;

      2. select or use a name or identifier that creates confusion in end user and others as to your own identity;

      3. use a name or identifier that is subject to any rights of a person or entity other than you without appropriate authorization; or

      4. use a name or identifier that is offensive, vulgar, obscene, or unlawful.

      5. SMK reserve the right, in our sole discretion, to cancel or refuse registration of any name or identifier we believe violates these Terms or the applicable law.

    5. You shall be responsible for maintaining the confidentiality and security of your password and other account information. Your login must only be used by one person. A single login shared by multiple people is not permitted. You are responsible for all activity that occurs via your account even if that activity is not by you or is without your knowledge or consent. Please notify Customer Support immediately if you become aware of any unauthorized use of your account. SMK is not liable for any loss or damage from your failure to comply with these obligations. We may use your registration information and any technical information about your use of Platform to tailor its presentations to you, facilitate your movement through the Platform and use of Services, communicate separately with you or publish the fact that you are a user of Platform.

    6. You are responsible for keeping your account active, which means you must sign in periodically (at last once per month) to avoid any disruption or loss of access to the Services, or termination of your account. Except for paid accounts in good standing, if you don't sign into your account periodically, we reserve the right to assume your account is inactive, and you agree that we may close it for you. You understand that you will lose access to any content stored in your account upon closure.

  3. CONTENT AND PROPRIETARY RIGHTS

    1. You retain all responsibility for your content on the Platform (including text, information, or material, such as audio files, video files, electronic documents, or images), that you upload and import into, or create in connection with or through your use of the Services. All rights and ownership of thus content, created in in connection with the specific Call, unless specified otherwise in the specifications of that Call, belongs to a Call owner. SMK do not claim any ownership rights to your content.

    2. You are solely responsible for maintaining, protecting, and making backups of your content. SMK may create reasonable technical limits on file size, storage space, processing capacity, and other technical limits, or may suspend the Services until you are within the storage space limit associated with your account. SMK also reserves the right to delete your content. To the maximum extent permitted by applicable law, we will not be liable for the loss or corruption of your content.

    3. Solely for the purposes of operating or improving the Services and Platform, when you upload your content, you grant us a nonexclusive, worldwide, royalty-free, sublicensable, and transferrable license to use, reproduce, publicly display, distribute, modify (so as to better showcase your content, for example), publicly perform, and translate your content.

    4. You must use the Services and Platform responsibly, with a reasonable degree of courtesy and professionalism. You must not misuse the Services or Platform. For example, you MUST NOT:

      1. do anything unlawful, infringing, disruptive, harmful, threatening, abusive, tortious, defamatory, libelous, lewd, profane, obscene, hateful or otherwise objectionable;

      2. phish or collect other people’s information without their consent or spam other users;

      3. upload, download, modify, disassemble, decompile, reverse engineer or copy any intellectual property of SMK or other users, or otherwise take any action that is prohibited by any applicable law;

      4. knowingly transmit any unauthorized code, virus, trojan horse, worm, logic bomb or other harmful software designed to adversely affect the operation or any computer hardware or software;

      5. reproduce, copy or imitate any part of the Platforms’ design, take any action that imposes an unreasonably large load on SMK hosting servers, or otherwise abuse the Services or Platform.

    5. SMK reserve the right to remove any content or restrict access to content, Services, and Platform if any of your content is found to be in violation of these Terms. We do not review all content uploaded to the Platform, but we may use available technologies, vendors, or processes to screen for certain types of illegal content or other abusive content or behavior.

    6. Some Services may provide features that allow you to share your content with other users or to make it public. “Share” means to email, post, transmit, stream, upload, or otherwise make available (whether to us or other users) through your use of the Services and Platform. Other users may use, copy, modify, or re-share your content in many ways. Please carefully consider what you choose to share or make public as you are responsible for the content that you share.

    7. We do not monitor or control what others do with your content. You are responsible for determining the limitations or copyright security measure that are placed on your content and for applying the appropriate level of access and security to your content. If you do not choose the access level to apply to your content, Platform may default to its most permissive setting. It is your responsibility to let other users know how your content may be shared and to adjust the setting related to accessing or sharing your content.

    8. SMK remain the sole owner of all right, title, and interest in the Services and Platform. Except as stated in the Terms, we do not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other rights in respect to the items in the Services or Platform. You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works of SMK content without our express prior written permission. We reserve all rights not granted under the Terms. You may revoke this license to your content and terminate our rights at any time by removing your content from the Service. Some copies of your content may be retained as part of our routine backups, however.

  4. FEES AND PAYMENTS

    1. Unless expressly stated otherwise, the Platform is free of charge and the Services are provided on a voluntary basis. However, SMK may make paid features in the Services or announce paid Calls that allow Creators and Master Creators to create, administer, and offer paid services to Business users. SMK makes no guarantees as to the volume of payments that may be generated by, or the number of Businesses or other users that may post Calls for a fee.

    2. In case of paid Calls, you agree that you shall bear and be responsible for any and all applicable taxes, withholdings, declarations and similar matters, related to user transactions according to applicable laws. It is your responsibility to determine what, if any, taxes apply to the orders you provide to, or payments you receive from, any users in connection with transactions concluded through Platform, and it is solely your responsibility to assess, collect, report or remit the correct tax, if any, to the appropriate tax authority. SMK is not responsible for calculating, collecting, or remitting any such taxes, unless otherwise is required according to applicable laws.

  5. CALLS FOR CREATIVE PROJECTS

    1. Each Call for creative project will contain terms and conditions between a Call owner (Business or Master Creator role user) and Creators (“Call terms”) and such terms may vary depending on the particular creative project. The Call terms may contain terms and conditions such as the start and end date of a project period, eligibility criteria of Creators, requirements for submitted solutions, roadmap of works, fees (if any), and allocation of Intellectual property rights relating to the works performed. If you have any questions, you should direct them to SMK or such other form of communication as may be prescribed in the relevant Call terms.

    2. Your participation in a creative project constitutes your acceptance to be bound by those Call terms, in addition to these Terms. The winner of specific Call for creative project is determined by the sole discretion of the Call owner. SMK does not promote or favor any user. From the moment Call owner determines the winner of specific project, Call terms becomes an agreement between such Call owner and Creators. For the avoidance of doubt, you agree and understand that when you Call for specific creative works, or agree to perform under the Call terms, you are entering into a direct, separate legal relationship between such Call owner and Creators. SMK may enter into separate agreements with Business users for paid Calls and administer payments that Business user will make for Services, including its distribution to the Creators (including Master Creator) under the specific Call terms.

    3. No automatic, programmed; robotic or similar means of entry for Calls or proposals thereof are permitted. SMK, its affiliates, partners and promotion and advertising agencies are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one’s ability to enter the Call or submit proposal, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in the Call or downloading (uploading) any materials in thus Call. SMK reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend any Call should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Call or due to violation of these Terms.

    4. SMK reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the Call process or the operation of the Platform. SMK may prohibit a user from posting or participating in the Call if, in its sole discretion, it determines that said user is attempting to undermine the legitimate operation of the Platform by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other user or their representatives. Any attempt by a user to deliberately damage Platform or undermine the legitimate operation of the Call may be a violation of criminal and civil laws and should such an attempt be made, SMK reserves the right to seek damages from any such person to the fullest extent permitted by law.

    5. SMK shall not be responsible or liable for any issues arising out of and / or in connection with the ownership, (legal, beneficial or otherwise) and the quality or quantity of the uploads and / or contents submitted by or for you. SMK is not liable for any loss or damage whatsoever and howsoever incurred by any party as a result of the use of the Platform. You agree to defend, hold harmless, and indemnify SMK from and against all losses, liabilities, claims, costs, expenses (including reasonable legal costs) paid, incurred or suffered by SMK, including any loss directly or indirectly attributable to any third party claims, related to the publishing of Calls for creative projects or participation in these Calls.

    6. SMK does not become involved in and are not required to investigate any disputes that may arise between users involving creative works, except for disputes related to paid Calls, made under direct agreement by Business users and SMK. Any other issues related to creative works must be addressed exclusively to (and handled entirely by) the Master Creator and Call owner. Although SMK may handle requests for refunds or chargebacks in connection with any creative works, in any event SMK can be held liable for any damages or losses in connection with any order or quality of creative works, exceeding the amounts refunded (if any).

    7. Parties to the creative project (Call owner and Creators) shall conduct themselves in a professional and appropriate manner, in order to work together in an environment of mutual trust and respect during the Call and works thereof. SMK expect both sides to strive for professionalism and quality, as well as be committed to the Call terms or other terms and conditions that were agreed through their direct negotiation.

    8. Call owners and Creators shall:

      1. Be committed to seeing the use of the Platform functionalities (such as the iteration space) through to the end;

      2. Be open to participate in the marketing activities and events organized by SMK to generate awareness and interest in the Call;

      3. be cooperative with SMK and other users so as to facilitate the creative process and to ensure success of the Call project;

      4. be responsible and adhere to the Call terms and other contractual obligations with each other, especially disbursing funds in a timely manner (if any); project timelines, especially for milestone deliverables (if any). Parties should inform each other at the earliest possible time if there are expected delays in payments or deliverables;

      5. ensure that confidential information and intellectual property rights are respected and protected where necessary, while promoting knowledge sharing and information exchange with each other;

      6. treat each other with due respect, in a fair and transparent manner and not discriminate each other in any way;

    9. Call owners and Creators shall not:

      1. use the Platform as a means to source for free ideas without recognizing or respecting work and intellectual contributions by the Creators (for example refusing to nominate the winners of the Call even though the proposal meets the Call owner’s needs), or take the initial payment and not deliver work requested;

      2. amend the Call terms, including renumeration amount or payment conditions, or withdraw the Call from Platform once Call terms has been published;

      3. defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others;

      4. misuse the intended Platform features and functions capabilities at any time.

  6. RELATIONSHIPS BETWEEN CREATORS

    1. Upon agreeing to participate in a creative project, each Creator agrees and understands that upon agreeing to perform under the Call terms with other Creators, that team of Creators are entering into a direct, separate joint venture (partnership) agreement between such team of Creators.

    2. Each team of Creators shall be led by a Master Creator, who is therefore the managing partner and shall have all powers necessary or desirable for the day-to-day management to accomplish the purposes and tasks of the specific Call. In connection therewith, Master Creator may assign specific tasks to participating Creators and shall have the power to do all things necessary, appropriate, advisable, convenient, or incidental in connection with the fulfilment of the creative project under the Call terms.

    3. For so long as the Call is open, Master Creator shall supervise other Creators and the status and progress of their performance, including, but not limited to the extent to which the performance under specific Call is in compliance with the anticipated Call terms and these Terms.

    4. Each Creator (including Master Creator) shall contribute to their partnership business contacts, know-how and their services (time and efforts) reasonably necessary to complete the Call under their best abilities, in compliance with Call terms, these Terms and applicable laws.

    5. ncome from paid Calls shall be accumulated by SMK and distributed by the mutual agreement of Creators upon successful completion of that Call in the following order: (i) first, the applicable taxes shall be covered; (ii) second, agreed fraction of income should be distributed to SMK and Master Creator; (iii) third, remaining amount of income is distributed equally or in other agreed proportions to all Creators. The total budget of the specific Call and distribution formulae should be disclosed at the moment of posting that Call. No Creator shall have any right to compensation solely by reason of contribution to the partnership beyond the net fractions of income set above, unless otherwise provided in the Call terms.

  7. FINAL PROVISIONS

    1. Limitation of Liability; Disclaimer of Warranties: IN NO EVENT WILL SMK BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL ARISING OUT OF YOUR ACCESS TO AND USE OF THE PLATFORM AND/OR PREPARATION TO CALL OR PARTICIPATION IN IT, DOWNLOADING, UPLOADING AND/OR PRINTING MATERIAL FROM PLATFORM. WITHOUT LIMITING THE FOREGOING, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON- INFRINGEMENT. SMK MAKES NO REPRESENTATIONS OR WARRANTIES, OR GUARANTEES THAT THE PLATFORM WILL BE FREE FROM ERRORS OR OMISSIONS, UNAUTHORISED CODE OR OTHER HARMFUL SOFTWARE, AND HEREBY DISCLAIM ALL EXPRESS, IMPLIED AND/OR STATUTORY WARRANTIES OF ANY KIND TO YOU OR ANY THIRD PARTY, ARISING FROM USAGE, CUSTOM, TRADE OR BY OPERATION OF LAW IN RELATION TO THE PLATFORM. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

    2. Disputes; Governing Law: these terms and their interpretation shall be governed by and construed in accordance with the laws of the Republic of Lithuania without regard to its conflicts of laws rules. Parties irrevocably submit and consent to the exclusive jurisdiction and venue of the courts located in Klaipeda, Lithuania. The parties agree not to raise the defense of forum non conveniens.

    3. Third-party websites and services. SMK may include links to websites or services that SMK do not operate. SMK has no control over and is not responsible for the content appearing on these websites or services. Use of the hyperlinks and access to such websites are entirely at your own risk. SMK reserves all rights to disable any links to, or frames of any website containing inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topics, names, material or information, or material or information that violates any written law, any applicable intellectual property, proprietary, privacy or publicity rights.

    4. Use of Data: SMK will be collecting personal data about user online, in accordance with its privacy policy. Please review SMK privacy policy at www.smk.lt. By using Services, you agree to SMK collection and usage of your personal information and acknowledge that you have read and accepted SMK privacy policy.

    5. Notices: All notices, requests, demands, consents, approvals, offers, agreements or other communications given by you to SMK must be emailed to SMK at email admin@wecreators.com or hello@wecreators.com.
